1. BINDING AGREEMENT & ACCEPTANCE

By accessing this website (axionlabs.us) or placing an order, the Customer ("You") agrees to be bound by these Terms and Conditions of Sale. You acknowledge that you have had the opportunity to review these terms before purchasing. If you do not agree, you must not use this site or purchase any products.

2. NO MEDICAL OR FDA APPROVAL

• Not Drugs or Supplements: All products sold by Axion Labs LLC are not drugs, medical devices, food additives, or dietary supplements.

4. NO RELIANCE & INDEPENDENT DETERMINATION

• Customer Responsibility: The Customer is solely responsible for independently determining the suitability, handling requirements, storage protocols, and legal status of any product purchased.

5. EXPLICIT ASSUMPTION OF RISK

The Customer understands and voluntarily assumes all risks associated with the products, including but not limited to: toxicity, contamination, mislabeling, improper handling, or third-party misuse. You accept full responsibility for:

• Training all personnel who handle the products.
• Providing appropriate Personal Protective Equipment (PPE) and engineering controls.
• Ensuring compliant waste disposal.

6. WARRANTY DISCLAIMER (AS IS)

ALL PRODUCTS ARE SOLD "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, AXION LABS LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

• Exclusions: Axion Labs LLC shall not be liable for any special, incidental, consequential, or punitive damages, including lost profits, loss of data, or business interruption, even if advised of the possibility of such damages.
• Liability Cap: The total liability of Axion Labs LLC for any claim arising out of a purchase shall not exceed the actual amount paid by the Customer for the specific product giving rise to the claim.

8. INSPECTION, ACCEPTANCE, AND RETURNS

• Inspection Period: Customer must inspect products promptly upon receipt. Any claims for non-conforming goods must be submitted in writing within seven (7) days of delivery.
• Sole Remedy: If a product is proven to be non-conforming, the Company's sole obligation is, at its option, to replace the product or refund the purchase price.
• Final Acceptance: Failure to notify the Company within the 7-day window constitutes final and irrevocable acceptance of the products "as is."

9. PROHIBITION OF MISUSE & ILLEGAL USE

Any use contrary to these terms-including human consumption, performance enhancement, veterinary use, compounding, or resale to unauthorized users-is strictly prohibited and voids all warranties. The Customer agrees not to:

1. Use products in humans or animals.
2. Use products as drugs, food additives, or cosmetics.
3. Resell products to any individual or entity that is not a qualified research user.

10. JURISDICTION & EXPORT COMPLIANCE

• U.S. Only: Axion Labs LLC makes no representation that products are lawful outside the United States.
• Compliance: Customer is responsible for all export control compliance, customs, and local regulatory approvals in their jurisdiction.

11. DISPUTE RESOLUTION & VENUE

• Governing Law: This agreement is governed by the laws of the State of Colorado.
• Venue: Any legal action must be brought exclusively in the state or federal courts located in Denver, Colorado. Parties submit to the personal jurisdiction of these courts.
• Attorneys' Fees: In any litigation, the prevailing party shall be entitled to recover reasonable attorneys' fees and costs.

12. MISCELLANEOUS (BOILERPLATE)

• Severability: If any part of this agreement is found invalid, the remaining clauses remain in effect.
• Entire Agreement: These terms constitute the entire agreement between the parties regarding product sales; no oral statements or external marketing shall modify them.
• Amendments: Axion Labs LLC reserves the right to update these terms at any time by posting the revised version on the website.
